Mumbai: SEBI court Mumbai directed SEBI to conduct investigation in Radhe Developers Limited Shares IPO fraud. Complainant Cum Investor says that Radhe Developers (India) LTD listed at BSE on 7/12/1995 at Bombay Stock Exchange. The Bombay Stock exchange listed Radhe developers without full SEBI compliance. The Complainant said that SEBI scores failed to take action on complaint and SEBI grievance officer closed his complaint without any action. Complainant said that as per SECURITIES AND EXCHANGE BOARD OF INDIA (PROCEDURE FOR HOLDING INQUIRY AND IMPOSING PENALTIES RULES, 1995) SEBI is duty bound to conduct inquiry on investors complaint. No summons or preliminary inquiry conducted by SEBI . After receiving the complaint the SEBI court Judge Shri Ravi M Jadhav under CRPC 156(3) ordered investigation in this IPO fraud. Complainant filed CRPC 156 complaint at Bandra Court to register FIR under SEBI act 15 HA,15 HB etc but MM Court said that only SEBI court has power under section 26 of SEBI act 1992. Taking this on record the SEBI court directed SEBI to conduct investigation on complaint . Now SEBI will appoint adjudicating officer(AO) and conduct investigation with penalty on Radhe Developer and BSE . Radhe Developers (India) Limited is Ahmedabad based real estate company . In Scores reply company said that it has lost the IPO documents during office shifting and shared complaint with police station stamp with investor. SEBI told in RTI reply that no documents are available on record . As per section 15 HA the BSE and Company may be penalize with 3 times of profit by SEBI if found guilty. Till date SEBI has not appointed AO
All the states have SEBI court in their capital . If SEBI failed to take action on SCORES Complaint or Email complaint then Aggrieved party can approach SEBI court in this pre cognizance stage. The court can take cognizance only after report from SEBI officer but it can direct investigation to SEBI in this pre cognizance stage . The offence under SEBI act are cognizable and SEBI is bound to take action as on each and every complaint. The SEBI Special judge follow CRPC as per section 26 D of SEBI act so it has power to direct investigation to SEBI as SEBI is also investigation agency like police , CBI, ED as per section 11 D. As per SC order revision of CRPC 156 investigation order is not permitted . High court cannot quash FIR or investigation order.

Perused complaint supported by affidavit
below Exh. 07 of complainant Sapan Shrivastava. Heard applicant Sapan
Shrivastava in person. Gone through the compliant and documents filed along
with the complaint.
2. It is
submitted by Sapan Shrivastava that respondents No. 1 and 2 Radhe Developer
is the listed company at BSE on 07.12.1995.
The Radhe Builder has listed IPO without
the SEBI compliance. The SEBI has issued circular dated 18.06.1992 which all the
exchanges have to obey as they are in the interest
of the investors. The SEBI has denied
compliance by the respondents No.1 and 2 for listing of
Radhe Devel- oper at Bombay Stock Exchange. The petitioner Sapan Shrivastava is the investors of the Radhe Developer.
Many complaints have been regis- tered against respondents No. 3 but no action has been taken to con-
duct the inquiry and investigation. The SEBI is bound to conduct the in- quiry
but no action has been taken which constrained the complainant/applicants to
file the present complaint seeking directions under Section 156(3) of Cr.P.C.

It is further submitted by Sapan
Shrivastava that earlier he has made complaint before the Ld. MM Court, Bandra.
However, the Ld. MM Court returned the complaint to file the same in
appropriate Court having jurisdiction. Hence, this complaint
is filed before this Court. Lastly it is submitted by Sapan
Shrivastava that he being investors along with other investors got cheated by
the respondents No. 1 to 4 and the SEBI inspite of the complaint made has not taken action
against them.

It appears that the complainant has
filed Exh. A which goes to show that
the respondents No.1 Radhe Developer is a listed company at BSE. Further, the complainant has produced on record the
guidelines of the
SEBI dated 18.07.1992 below Exh.B. The complainant has also produced on record the final status of his compliant given to SEBI against Radhe Developer below Exh. C.
He placed on record the letter/ correspondence given to Finance Minster, Union of India below Exh. D. He also produced
some letters and mails.

The compliance has produced on
record the copy of order dated 17.01.2024 passed by Ld. MM Court, Bandra in CC No. 190/
Misc/2023. The Ld. MM vide above order appears to have returned
complaint of complainant observing
that cognizance of offence under SEBI act
can only be taken by Special Court.

The complainant has produced on
record along with Exh. 5 the information showing that he is the investors of
the Radhe Developer. I
have considered the allegations made in the complaint and the docu- ment
produced on record.

It would be apposite to mention
here that the Section 26 of the SEBI Act provides that - “No Court shall take cognizance of
any of- fence punishable under this Act or any rules or regulations made there
under save on a complaint
made by the Board. Admittedly, this is not the complaint filed by the board of
whose cognizance can be taken by this
Court.”

It is pertinent to mention here
that the SEBI conduct inves- tigation in the matters relating to the securities
market through its ma- chinery and upon investigation if any violation is
notice proposes for ac- tion to be taken including the action of filing the
complaint before the SEBI Court.

It
would be relevant
to mention here that the complainant
is seeking for directions to the SEBI to investigate the matter as per Sec-
tion 156(3) of Cr.P.C. So, the question
of taking cognizance of the of- fence does not arise. The complainant
by this petition is raising griev- ance
with prayer of investigation to be done by the SEBI so that it will enable the
SEBI either to take any action or not.

Prima facie the material on record
goes to show that the complainant Sapan Shrivastava is the investors of the
Radhe Builder. He has made complaint with the SEBI against Radhe Developer for
non compliance of the SEBI Act and Regulations in issuing the IPO and
fraudulent practice. The complainant Sapan
Shrivastava has also filed his affidavit below Exh. 07 in respect of
the allegations made in the compliant/ petition.

According to Section 11 (1) of the
SEBI Act subject to pro- vision to this Act it shall be the duty of the board to protect the interest
of the investors in securities and promote the development of and to regulate
the securities market by such measures as it thinks fit. Accord- ing to Section
11C(1) where the board has reasonable ground to believe that (a) the
transaction in securities are being
dealt with in a manner detrimental to the investors or the securities market it
may order to in- vestigate.

This being the function of the SEBI
in the interest of in- vestors, I found that the allegations made in the
complaint are required to
be dealt with by the SEBI. The complainant Sapan
Shrivastava is the investors and he alleged about the fraudulent activity of
the respon- dents No. 1 and 2 Radhe Developer and the respondents No. 3 and 4
the authorities of Bombay Stock Exchange in listing the respondents No. 1 and 2 and issuing
IPO without making any SEBI compliance detrimen- tal to the interest of the
investors.

Certainly, the SEBI is at liberty
to file the complaint if upon investigation it transpired to it that the alleged
violations if any are
committed by the respondents No. 1 to 4. The SEBI may dropped the
proceeding if, no violations are
revealed upon investigation. But, the in- vestigation needs to be done by the
SEBI in the interest of the investors including the complainant Sapan Shrivastava to be one of the investor
of the respondents No.1 and 2 Radhe Developer. In the given set of fact and
circumstances, I pass the following order :-

The SEBI (respondent No. 5) is
directed to investigate into the matter and take action if any, according to
law against the re- spondents No. 1 to 4.
2.
The Exh. 1 certified copy of the
complaint be sent to SEBI (re- spondent No. 5) for investigation. The SEBI (respondent No. 5) to submit its action report after due investigation.
3.
Inform SEBI (respondent No. 5) accordingly.
4.
Miscellaneous Application No.400 of 2024 is disposed
off.
